What counts

We track the event-driven / special-situation moments in a public company's life, each detected from a specific SEC filing:

  • Spin-offs — a parent distributes a subsidiary to shareholders (Form 10 / 10-12B)
  • Mergers — a shareholder vote on a merger or acquisition (DEFM14A)
  • IPOs — a first-time issuer's registration that listed (S-1 / F-1)
  • Going-private — a take-private transaction (SC 13E3)
  • Activist — a 5%+ stake disclosed with intent to influence (Schedule 13D)

Each company also gets a hub with its SEC financials and — for life-sciences names — its FDA-approved drugs.

Sourced, not guessed

Every entry links to its filing on SEC EDGAR. Names, tickers, sectors, dates, and ratios all come from the SEC's own records. Where a figure can't be verified against the source, we leave it blank rather than estimate.

Coverage

The catalog reaches back to 2001 — the limit of SEC full-text search — and updates daily as new filings appear. The full dataset is available via a free JSON API and CSV.
